Terms of Service

These terms are the agreement between you and Roots Referrals LLC ("Roots", "we", "us") covering your use of Roots Referrals. By creating an account or using Roots, you agree to them. If you're agreeing on behalf of a business, you're confirming you have the authority to do that.

What Roots is

Roots helps a local service business turn finished jobs into referrals. You build a private network of businesses you trust, write a short vouch for each, and share one QR code or link with your customers. Your customers can recommend you to a friend, or reach out to a partner you've vouched for.

What Roots is not

This section matters more than the rest, so please read it.

We are not a contractor screening service. We do not verify licenses, insurance, certifications, bonding, or qualifications. We do not run background checks. We do not inspect anyone's work.

A vouch is an opinion, not a guarantee. When a business vouches for a partner, that's their own personal recommendation based on their own experience. It is not our assessment, endorsement, or warranty. We don't verify vouches for accuracy.

We are not a party to the work. If you hire a business you found through Roots, that's an agreement between you and them. Roots isn't involved in the quote, the job, the payment, or any dispute. We don't guarantee anyone's work, timeliness, pricing, or conduct.

Roots is also not a lead marketplace, a review platform, or a CRM. We don't sell leads and we don't charge per referral.

Your account

You need to give us accurate information and keep it current. You're responsible for what happens under your account and for keeping your password secure — tell us promptly if you think someone else has access. You must be at least 18 and legally able to enter into contracts.

Pricing, trial, and billing

• Price: $20 per month, or $199 per year.
• Free to start: your first 5 inbound leads are free. No credit card required to sign up.
• After that: new leads keep arriving and are held in your account until you subscribe. You'll see how many are waiting.
• Renewal: subscriptions renew automatically until you cancel.
• Cancelling: cancel any time from your billing settings. You keep access through the end of the period you've paid for. We don't charge a cancellation fee.
• Refunds: we don't generally offer refunds for partial periods, but if something went genuinely wrong, email us — we'd rather sort it out than argue.
• Price changes: we'll give you at least 30 days' notice before any price increase affects you.

Payments are processed by Stripe. Applicable taxes may be added.

Your network and your vouches

Networks on Roots are invite-only and private to you. There's no public directory, and nobody can browse into your network.

When you write a vouch, you're publishing a recommendation your customers will read. So: only vouch for businesses you'd genuinely send your own customers to, write from your own real experience, and don't make claims you can't stand behind — particularly about licensing, insurance, or guarantees. You're responsible for what your vouches say. You can remove a partner or a vouch at any time.

Customer information

When a customer submits a request to you through Roots, you get their contact details so you can respond. In exchange, you agree to:

• Use their information only to respond to that request and provide the service they asked about.
• Not add them to marketing lists, text blasts, or automated campaigns without the consent the law requires.
• Not sell, rent, or pass their information to anyone else.
• Follow the laws that apply to you — including telemarketing and texting rules such as the TCPA and state equivalents, and any applicable privacy laws.
• Delete their information if they ask you to.

If a business misuses customer information, we may suspend or terminate its account.

Acceptable use

Don't use Roots to: impersonate another business; upload content you don't have the rights to; post anything unlawful, deceptive, harassing, or misleading; scrape or copy the platform; interfere with or probe our systems; or resell access to Roots.

Your content

Your logo, photos, profile text, and vouches remain yours. You give us permission to host, display, and distribute them as needed to run Roots — including showing them on your public page and on the pages of partners who have vouched for you. You confirm you have the rights to everything you upload. Remove your content at any time; copies may persist briefly in backups.

Availability and changes

We're an early-stage product and we're improving Roots continuously. Features may change, and we may occasionally need downtime for maintenance. We don't promise uninterrupted service. If we ever plan to discontinue Roots, we'll give you reasonable notice and a way to export your data.

Suspension and termination

You can close your account whenever you want. We may suspend or terminate an account that breaks these terms, misuses customer information, or creates risk for other users — normally with notice, immediately where the situation is serious.

Disclaimers

Roots is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that you'll receive any leads, referrals, jobs, or revenue from using Roots, or that any business in any network is competent, licensed, insured, or trustworthy.

Limitation of liability

To the fullest extent permitted by law, Roots is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost data. Our total liability for any claim relating to Roots is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100.

We are specifically not liable for the acts, omissions, work quality, or conduct of any business you find, refer, or are referred to through Roots.

Indemnification

You agree to indemnify and hold Roots harmless from claims, damages, and reasonable legal costs arising from your use of Roots, your content or vouches, your handling of customer information, or your work for customers.

Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Pinellas County, Florida, and we each consent to those courts. Before filing anything, please email us — most things get resolved with a conversation.

Changes to these terms

We may update these terms. If a change is material, we'll notify account holders by email or in the product at least 30 days beforehand. Continuing to use Roots after a change takes effect means you accept the updated terms.
